USED SHRINK PACKAGING EQUIPMENT LIST

 Indemnification by Buyer and Seller:  Buyer and Seller shall indemnify and hold Jeff Eastey Ent. Inc. harmless from any and all loss, damage, liability, cost or expense (including reasonable attorneys' fees and expenses) which the Company may incur or suffer as a result of any claim of any kind whatsoever arising out of (a) any act or omission by Buyer or Seller any of its agents or employees; (b) any claim for breach of warranty based upon any warranty or representation given or purportedly given by buyer or Seller, its agents or employees which is different from or in addition to written warranties and representations given by the buyer or Seller, as amended by from time to time; (c) any third party claim for personal injury, damage, economic loss or other damage, caused by or arising out of the use of the Products proximately caused by or resulting from the negligence of Buyer or Seller, its agents or employees; (d) any claim for breach of warranty based upon a defect caused by any act or omission by Buyer or Seller, or its employees or agents; (e) any claim or demand arising from the employment or engagement by Buyer or Seller of any person or entity.

LIMITATION OF REMEDY: THE COMPANY (Jeff Eastey Ent. Inc.) SHALL HAVE NO LIABILITY TO ANY PERSON FOR INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY DESCRIPTION, WHETHER ARISING OUT OF WARRANTY OR OTHER CONTRACT, NEGLIGENCE OR OTHER TORT, OR OTHERWISE.
